1. Introduction
This Vendor Agreement (“Agreement”) is entered into between The WDDNG Co (“WDDNG,” “we,” “us,” “our”) and you (“Vendor,” “you,” “your”) upon your creation of a vendor listing on the WDDNG platform (wddng.co and wddng.vercel.app) (the “Platform”).
By creating a vendor account and listing your services, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy.
2. Services Provided by WDDNG
WDDNG operates a wedding vendor marketplace that:
- Provides a searchable directory of wedding vendors for couples planning weddings in South Africa
- Matches vendors with qualified leads based on service category, location, budget, and wedding date
- Facilitates communication between vendors and couples
- Processes lead unlock payments via PayStack
WDDNG is a technology platform only. We are NOT:
- A wedding planning service
- A party to contracts between vendors and couples
- Responsible for the quality, performance, or delivery of vendor services
- A guarantor of bookings, payments, or client satisfaction
3. Vendor Eligibility and Verification
3.1 Eligibility Requirements
To create a vendor listing, you must:
- Be at least 18 years of age or a registered business entity
- Provide legitimate, accurate business information
- Offer wedding-related services in South Africa
- Have a valid email address and phone number
- Comply with all applicable South African laws and regulations
3.2 Manual Verification Process
All vendor listings are subject to manual review and approval by WDDNG. We verify:
- Business name and contact information
- Portfolio authenticity (at least 3 real wedding examples)
- Pricing reasonableness
- Professionalism of content
Approval Timeline: We aim to review submissions within 24-48 hours. Incomplete or suspicious applications may be rejected.
3.3 Ongoing Compliance
WDDNG reserves the right to suspend or remove your listing at any time if:
- You violate this Agreement or our Terms of Service
- You engage in fraudulent, misleading, or unethical behavior
- You receive multiple negative reviews or complaints from couples
- Your business information becomes inaccurate or outdated
- You fail to respond to leads in a timely manner
4. Vendor Listings
4.1 Profile Information
Your vendor profile must include:
- Business name (accurate and current)
- Service category (photographer, venue, caterer, DJ, etc.)
- Service areas (cities/regions you serve)
- Contact information (email and phone number)
- Portfolio (minimum 3 photos; maximum 20 photos)
- Pricing information (optional but recommended for transparency)
- Business description (professional, accurate, no misleading claims)
4.2 Content Standards
All profile content must:
- Be accurate, truthful, and not misleading
- Be your own original work or properly licensed
- Comply with South African advertising standards
- Not contain offensive, discriminatory, or inappropriate material
- Not infringe on third-party intellectual property rights
Prohibited Content:
- False or exaggerated claims (“#1 photographer in South Africa”)
- Stolen or unauthorized photos
- Offensive language or imagery
- Spam, promotional links to competitor platforms
- Personal attacks on other vendors or couples
4.3 Portfolio Photos
You represent and warrant that:
- You own the rights to all photos you upload OR have obtained permission from the copyright holder
- Photos accurately represent your work and services
- You have obtained consent from couples featured in photos (where applicable)
WDDNG may remove photos that violate copyright, privacy, or content standards.
4.4 Pricing Transparency
While not required, we strongly encourage you to display pricing information (packages, hourly rates, starting prices). Transparent pricing leads to:
- Higher quality leads (couples with realistic budgets)
- Fewer time-wasting inquiries
- Increased trust and bookings
5. Lead Generation and Payments
5.1 How Leads Work
Lead Matching:
When a couple submits a vendor request, WDDNG's algorithm matches the request with up to 5 vendors based on:
- Service category
- Geographic area
- Budget range
- Wedding date
- Specific requirements
Lead Notification:
If you are matched with a lead, you will receive an email/WhatsApp notification containing:
- Lead quality score (0-100)
- Couple's wedding date
- Budget range
- Location
- Service requirements
- Partial contact information (first name only)
Lead Unlock:
To view the couple's full contact information (name, email, phone), you must pay the lead unlock fee (R50-R150 depending on lead quality).
5.2 Pricing Structure
No Monthly Fees:
There are NO subscription fees or monthly charges. You only pay when you choose to unlock a lead.
Lead Unlock Fees:
- Standard Lead (Score 40-59): R50
- Premium Lead (Score 60-79): R100
- Hot Lead (Score 80-100): R150
Optional Subscription Plan:
- R199/month: Unlock leads at 50% discount (R25-R75 per lead) + featured badge + analytics dashboard
5.3 Payment Terms
Payment Processing:
All payments are processed securely through PayStack. By unlocking a lead, you authorize PayStack to charge your saved payment method.
Non-Refundable (Except for Valid Disputes):
Lead unlock fees are non-refundable except in cases where:
- The lead is proven to be spam, fake, or bot-generated
- The lead is a duplicate (you already unlocked the same couple)
- The lead contains inaccurate or misleading information

Payment Failure:
If your payment fails, you will not receive access to the lead's contact information. You may update your payment method and try again (if the lead is still available).
5.4 Lead Ownership
Once you unlock a lead, the couple's contact information belongs to you. WDDNG does NOT:
- Take a commission on bookings
- Require you to process payments through the Platform
- Control your client relationships after the introduction
You are responsible for:
- Contacting the couple promptly
- Providing accurate quotes and information
- Negotiating contracts and payments directly
- Delivering services as agreed
6. Lead Dispute Policy
6.1 Valid Dispute Reasons
You may dispute a lead unlock within 7 days if:
- Spam/Bot: The lead is clearly fake, contains nonsensical information, or is generated by a bot
- Duplicate: You already unlocked the same couple in a previous request
- Gross Inaccuracy: The couple's budget or requirements are drastically different from what was displayed (e.g., budget listed as R50,000 but couple says R5,000)
- Test Data: The lead was submitted by WDDNG for testing purposes and was not marked as such
6.2 Invalid Dispute Reasons
The following are NOT valid reasons for a refund:
- No Response: The couple did not respond to your contact attempt (they may be busy or chose another vendor)
- Budget Mismatch: The couple's budget is lower than you prefer (the budget range was displayed before you unlocked)
- Changed Mind: The couple decided not to hire you or changed their wedding plans
- Competitive Loss: The couple chose a different vendor (this is normal market competition)
- Delayed Response: The couple responded slowly or weeks later
6.3 Dispute Process
Step 1: Submit Dispute
Email disputes@wddng.co within 7 days of unlocking the lead. Include:
- Your vendor name and account email
- Lead reference number (found in your dashboard)
- Reason for dispute (with evidence if applicable)
Step 2: WDDNG Review
We will investigate your claim within 3-5 business days by:
- Verifying the lead's authenticity
- Checking for duplicate submissions
- Reviewing conversation history (if available)
Step 3: Resolution
- Valid Dispute: Full refund issued as account credit (usable for future lead unlocks)
- Invalid Dispute: No refund; explanation provided
Step 4: Escalation (if needed)
If you disagree with the resolution, you may escalate to support@wddng.co for a final review.
6.4 Abuse Prevention
Vendors who repeatedly dispute valid leads (>20% dispute rate) may be subject to:
- Account suspension
- Removal from the Platform
- Forfeiture of account credits
7. Vendor Responsibilities
7.1 Timely Response
You agree to:
- Respond to unlocked leads within 24 hours of receiving contact information
- Provide professional, courteous communication
- Deliver accurate pricing and availability information
Failure to respond promptly may result in:
- Negative reviews from couples
- Lower lead quality score (algorithm prioritizes responsive vendors)
- Account warnings or suspension
7.2 Professionalism
You agree to:
- Conduct business ethically and professionally
- Honor quotes and commitments made to couples
- Treat all couples with respect, regardless of race, gender, religion, or sexual orientation
- Comply with all applicable South African laws (tax, licensing, insurance, etc.)
7.3 Independent Contractor
You are an independent contractor, not an employee or agent of WDDNG. You are solely responsible for:
- Your own taxes, insurance, and business licenses
- Compliance with labor laws (if you hire staff)
- Client contracts, payments, and service delivery
- Liability for your services and any damages or disputes
WDDNG is NOT liable for your actions, negligence, or contractual obligations to couples.
7.4 Platform Use Restrictions
You agree NOT to:
- Use the Platform to solicit couples for services outside WDDNG with the intent to circumvent lead fees
- Share login credentials or allow unauthorized access to your account
- Scrape, copy, or download couple data for unauthorized purposes
- Spam couples with unsolicited messages or offers
- Manipulate reviews or ratings (posting fake reviews, pressuring couples for positive reviews)
- Engage in fraudulent activity (fake portfolio, misleading pricing, identity theft)
8. Reviews and Ratings
8.1 Couple Reviews
Couples may leave reviews and ratings (1-5 stars) for vendors they have worked with. Reviews must:
- Be based on genuine experiences
- Not contain offensive, defamatory, or false statements
- Comply with WDDNG's content standards
8.2 Vendor Response
You may respond to reviews publicly (visible to all users). Responses must be:
- Professional and respectful
- Factual and non-retaliatory
- Compliant with content standards (no personal attacks)
8.3 Disputed Reviews
If you believe a review is fake, defamatory, or violates our policies, you may request removal by contacting support@wddng.co with evidence. WDDNG will investigate and may remove reviews that violate our policies.
We do NOT remove reviews simply because they are negative. Honest, constructive criticism is permitted.
9. Intellectual Property
9.1 Your Content
You retain ownership of all photos, text, and other content you upload to your vendor profile. However, by uploading content, you grant WDDNG a worldwide, non-exclusive, royalty-free license to:
- Display your content on the Platform
- Use your content in marketing materials (with your consent)
- Modify your content for technical purposes (e.g., resizing photos)
9.2 WDDNG's Intellectual Property
“WDDNG” and related logos are trademarks of The WDDNG Co. You may use these trademarks only to indicate your membership on the Platform (e.g., “Find us on WDDNG”). You may NOT:
- Use WDDNG's trademarks in your business name or logo
- Imply endorsement or partnership with WDDNG without prior written consent
- Create derivative works or modified versions of WDDNG's branding
10. Data Privacy
Your use of the Platform is governed by our Privacy Policy. By creating a vendor account, you consent to:
- Collection of your business information, contact details, and usage data
- Sharing of your profile with couples searching for vendors
- Processing of payments through PayStack
- Use of cookies and analytics tools (Google Analytics, Facebook Pixel)
You have the right to access, correct, or delete your personal information in accordance with POPIA (Protection of Personal Information Act).
11. Limitation of Liability
WDDNG'S TOTAL LIABILITY TO YOU IS LIMITED TO THE AMOUNT YOU PAID TO WDDNG IN THE 12 MONTHS PRECEDING YOUR CLAIM, OR R1,000 (WHICHEVER IS GREATER).
WDDNG IS NOT LIABLE FOR:
- Loss of bookings, revenue, or business opportunities
- Damages arising from couple disputes, non-payment, or cancellations
- Technical issues, downtime, or data loss
- Actions of other vendors or third parties
- Indirect, incidental, or consequential damages
THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.
12. Indemnification
You agree to indemnify and hold harmless WDDNG, its affiliates, and their respective directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from:
- Your use of the Platform
- Your services provided to couples
- Your violation of this Agreement or applicable laws
- Disputes with couples or third parties
- Infringement of third-party intellectual property rights
13. Termination
13.1 Termination by You
You may close your vendor account at any time by:
- Logging into your account and selecting “Delete Account”
- Contacting support@wddng.co
Upon termination:
- Your profile will be removed from the Platform
- You will lose access to unlocked leads (export data before closing)
- Any unused account credits will be forfeited (no refunds)
13.2 Termination by WDDNG
WDDNG may suspend or terminate your account immediately if:
- You violate this Agreement or our Terms of Service
- You engage in fraudulent, abusive, or illegal activity
- You receive excessive complaints or negative reviews
- You fail to respond to leads or maintain profile accuracy
- We are required to do so by law
No refunds will be issued for terminated accounts.
13.3 Effect of Termination
Upon termination, you must:
- Cease using the Platform and any WDDNG branding
- Delete any data obtained from the Platform (subject to legal retention requirements)
- Honor any existing contracts with couples you booked through WDDNG
Sections 7.3, 9, 10, 11, 12, and 13.3 survive termination.
14. Modifications to Agreement
WDDNG reserves the right to modify this Agreement at any time. We will notify you of material changes by:
- Posting the updated Agreement on the Platform with a new “Last Updated” date
- Sending an email notification to your registered email address
Your continued use of the Platform after changes take effect constitutes acceptance of the updated Agreement.
15. Governing Law and Dispute Resolution
15.1 Governing Law
This Agreement is governed by the laws of the Republic of South Africa. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of South Africa.
15.2 Informal Resolution
Before initiating formal legal proceedings, you agree to contact WDDNG at legal@wddng.co to attempt informal resolution.
15.3 Arbitration (Optional)
WDDNG may offer to resolve disputes through binding arbitration in accordance with the Arbitration Act of South Africa.
16. General Provisions
16.1 Entire Agreement
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and WDDNG.
16.2 Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in full force.
16.3 Waiver
WDDNG's failure to enforce any provision does not constitute a waiver of that provision.
16.4 Assignment
You may not assign this Agreement to any third party without WDDNG's prior written consent. WDDNG may assign this Agreement to any successor entity.
16.5 Force Majeure
WDDNG is not liable for any failure or delay in performance due to events beyond our reasonable control.
18. Acceptance
By clicking “I Agree,” creating a vendor account, or uploading content to the Platform, you acknowledge that you have read, understood, and agree to be bound by this Vendor Agreement.
